A buyer’s order is expressly limited to the terms and conditions (“terms and conditions ”) contained in this document. The price of goods will be as specified in the Website and full order price confirmation and invoice will be available at time of purchase.
Any federal, provincial or other governmental taxes, additional fee or charge on or with respect to the sale, purchase, delivery or use of the goods will be paid by the buyer in addition to the purchase price. In the event that certain goods are subject to international export control regulations, the buyer will be responsible for compliance with such regulations in connection with the export of goods to end users.
Goods will be packaged in accordance with standard procedures, except as otherwise requested by the buyer and accepted by the seller. The method of shipment will be at buyer’s election, as specified by the buyer at time of order.
All goods furnished will be shipped FOB point of shipment (the “delivery point”), and possession and risk of loss in such goods will pass to buyer upon seller’s delivery to the carrier (as appointed by the buyer) at the delivery point.
For new materials:
The manufacturer/seller warrants that products manufactured shall be free from defects in material, workmanship and shall be of the kind and quality specified or designated by manufacturer at time of shipment. Any parts which are defective in workmanship or material will be repaired or replaced FOB point (delivered point), at the option of Exestok, at no charge to the Buyer within the warranty period specified below, provided, however, that Exestok is notified of the defect immediately in writing with full details within (30) days of such occurrence and subsequent to Exestok verification. Final determination as to whether a product is actually defective rests with Exestok No products shall be returned to Exestok without its prior consent and written authorization, in the form of a written authorization number.
The warranty period excluding normal wear and tear for all of the parts under this Warranty shall be: twelve (12) months from the date of delivery, FOB point (delivered point).
LIMITED WARRANTY:
Exestok shall have no obligation to repair or replace parts damaged by misuse or failure of Buyer to provide appropriate preventive maintenance and service. Exestok's liability shall not extend to any defect or defects which can be proved to the satisfaction of the Buyer as having been caused in whole or in part by a product which: (i) is normally consumed in operation; (ii) has a normal life inherently shorter than the warranty period specified herein; (iii) is not properly stored, installed, used or maintained or has not been used for its designated operation and applicability; (iv) has been repaired, or has been modified other than pursuant to Seller's instructions or approval; (v) has been subjected to any other kind of misuse or detrimental exposure; (vi) or has been involved in an accident. Exestok will not assume responsibility or accept invoices for unauthorized repairs to its products.
Exestok's liability except as to title arising out of supplying of each part or parts, or their use, shall not, in any case, exceed the cost of replacing or repairing a defective part or parts as herein provided and shall not include: transportation charges, the Buyer's labour or material (except as authorized in writing in advance), loss of use or revenue or any special or consequential damages. Upon the expiration of the said guarantee, all such liability with respect to the part or parts repaired or replaced by reason of this guarantee, shall terminate.
In no event, whether as a result of breach of contract, warranty, or otherwise, shall the Seller or its subcontractors or suppliers, be liable for any special, consequential, incidental, indirect damages, including, without limitation, loss of profit or revenue, loss of use of the products or any associated equipment, cost of capital, cost of substitute goods, damage to associated equipment, downtime costs or claims of Buyer's customers for such damages.
The foregoing warranty is exclusive and in lieu of all other warranties, expressed or implied, including, but not limited to, any warranty of merchantability or of fitness for a particular purpose.
The foregoing states Exestok's entire liability for product defects or deficiencies and any and all claims arising therefrom.
For any materials indicated as Rebuilt, UTEX or Repaired:
The applicable warranty will be one (1) year from Bill of lading date and will cover only the repaired components and repair work involved or as may be specified against the offered product on a case by case basis.
For any materials RTO (Running Take Out) or used (As is where is):
There is no warranty on these types of sales and the sale will be on ‘as is where- is condition’. However you may address any questions you may have by ‘Contacting Us’ and we will do our best to provide more information, etc.
